Terms of Service

PreOrg provides decision support only. Our reports are not legal advice, employment law guidance, or a substitute for qualified management judgment. All recommendations require human review before any organizational action is taken.

1. Acceptance of Terms

By accessing or using the PreOrg service ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a binding agreement between you and PreOrg, LLC, a Maryland limited liability company ("PreOrg," "we," "us," or "our"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

PreOrg is an AI-assisted organizational diagnostic platform operated by PreOrg, LLC. The Service analyzes uploaded organizational data (org charts, employee rosters, job descriptions, and strategic documents) and produces a structured report covering organizational structure, spans and layers, role clarity, leadership capacity, and strategic alignment.

All AI-generated analysis is reviewed by a qualified HR professional before delivery. The Service is designed as a decision-support tool — not a replacement for qualified management or HR expertise.

3. Eligibility and Data Minimization

You must be at least 18 years old and authorized to share the organizational data you upload. You represent that you have the legal right to provide all documents and data submitted to the Service, and that doing so does not violate any confidentiality obligations, employment agreements, or applicable laws.

You are responsible for ensuring uploaded files contain only the data necessary for organizational analysis. Before uploading, you must remove compensation and salary data, Social Security numbers or national ID numbers, dates of birth, health or medical information, performance review data, and any other sensitive personal data not required for structural analysis. PreOrg is not liable for any sensitive or regulated data included in uploads beyond what the Service requires. Uploading such data does not alter PreOrg's obligations under these Terms or expand any duty of care we owe with respect to that data.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at hello@preorg.com if you suspect unauthorized access.

5. Payments and Fees

PreOrg charges a one-time fee per organizational assessment. The current fee is displayed at checkout prior to payment. All fees are in US dollars and are non-refundable except as required by applicable law or at our sole discretion.

Payments are processed by Stripe. By providing payment information, you authorize the applicable charge. PreOrg does not store payment card details.

We reserve the right to change pricing at any time. Price changes will not affect assessments already paid for.

You retain ownership of all data and documents you upload. By uploading materials, you grant PreOrg a limited license to process that data solely for the purpose of delivering your assessment.

We treat your organizational data as confidential. It will not be shared with third parties except as described in our Privacy Policy (including our AI and infrastructure providers) or as required by law.

8. Important Limitations of the Service

PreOrg is a decision-support tool. Its outputs are analytical inputs for qualified decision-makers — not directives or substitutes for professional judgment.

The PreOrg platform, ORG-FIT framework, methodology, and all associated software, designs, and content are owned by PreOrg, LLC and protected by applicable intellectual property laws.

You retain all rights to your uploaded materials and to the report delivered to you. You may not resell or redistribute PreOrg reports as your own product without written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANY PARTICULAR RESULT WILL BE ACHIEVED.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PREORG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING ORGANIZATIONAL DECISIONS MADE IN RELIANCE ON OUR REPORTS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC ASSESSMENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless PreOrg and its officers, employees, and contractors from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law

These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Maryland.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
